SEBI issues Master Circular for Mutual Funds rescinding 16 circulars

On 27-06-2024, the Securities and Exchange Board of India issued a Master Circular for mutual funds to incorporate all guidelines/directions issued for effective regulation of the mutual funds industry to enable the stakeholders to have access to all applicable regulatory requirements at one place.

Key Points:


  1. This Master Circular supersedes the Master Circular for Mutual Funds dated 19-05-2023.


  2. The Master Circular dated 19-05-2023 was updated to include all relevant circulars that were issued on or before 31-03-2024.


  3. The Master Circular has rescinded the following 16 circulars to the extent that they relate to Mutual Funds, as have been mentioned in the Appendix to this Master Circular in addition to the 336 circulars that had already been rescinded through the Master Circular dated 19-05-2023:

    • Circular dated 12-03-2024 — Simplification and streamlining of Offer Documents of Mutual Fund Schemes — Extension of timelines


    • Circular dated 01-11-2023 — Simplification and streamlining of Offer Documents of Mutual Fund Schemes


    • Circular dated 27-09-2023 — Clarification regarding investment of Mutual Fund schemes in units of Corporate Debt Market Development Fund


    • Circular dated 06-09-2023 — Nomination for Mutual Fund Unit Holders — Extension of timelines


    • Circular dated 11-08-2023 — Timeline for the Exit Option Window Period for Change in Control of AMC


    • Circular dated 27-07-2023 – Framework for Corporate Debt Market Development Fund


    • Circular dated 27-07-2023 — Investment by Mutual Fund Schemes and AMCs in units of Corporate Debt Market Development Fund


    • Circular dated 26-07-2023 — Resources for Trustees of Mutual Funds


    • Circular dated 20-07-2023 — New category of Mutual Fund schemes for Environmental, Social, and Governance (ESG) Investing and related disclosures by Mutual Funds


    • Circular dated 07-07-2023 — Regulatory framework for sponsors of a Mutual Fund

    • Circular dated 25-04-2023 — Modifications in the requirement of filing of Offer Documents by Mutual Funds

  4. Despite the rescission:

    1. Anything done/action taken/purported to have been done/taken under the rescinded circulars will be deemed to have been done/taken under the corresponding provisions of this Master Circular.


    2. Any application made to SEBI under the rescinded circulars, before such rescission, and pending before the Board, will be deemed to have been made under the corresponding provisions of this Master Circular.


    3. The previous operation of the rescinded circulars and anything done under them will remain unaffected as if the rescinded circulars have never been rescinded.

  5. The entities that are required to ensure compliance with the provisions must submit necessary reports periodically, as envisaged in the Master Circular.
