| Texmaco Rail and Engineering Limited | 51% acquisition of Saira Asia Interiors Private Limited |
Khaitan & Co advised and assisted Texmaco Rail and Engineering Limited (“Texmaco”) in relation to acquisition of 51% shares of Saira Asia Interiors Private Limited (“Saira”) from its existing shareholder, i.e., Emobility Design and Innovation Private Limited (“Seller”). Post closing, Saira would become a subsidiary of Texmaco and shall be operated as joint venture.
The core transaction team consists of Shourya Sengupta (Partner), Vibhav Seth (Senior Associate), Shramana Dwibedi (Senior Associate), Karishma Sethia (Associate), Joysurjo Roy (Associate) and Unnati Khanna (Associate).
Intellectual Property aspects: Shailendra Bhandare (Partner), Sourav Dan (Principal Associate) and Vaishali Adhikari (Associate).
We acted as the transaction counsel to Texmaco and our responsibilities were as follows:
Conducting a legal due diligence exercise on Saira;
Drafting, negotiating, finalising and execution of the transaction documents;
Assisting and advising on all execution, pre-completion and completion related formalities.
