Khaitan & Co advised Bertelsmann India Investments (BII) on its investment in Basic Enterprises Private Limited along CE Ventures Limited and other existing shareholders of the Company i.e., Mr. Ashish Ramesh Kacholia, S Four Capital and LV Angel Fund for a total investment amount of approximately USD 10 million.
The core transaction team comprised of Bharat Anand (Partner), Nidhi Killawala (Partner), Ayushi Mishra (Principal Associate) and Gracy Bindra (Associate) with support from Shatakshi Gupta (Senior Associate) on closing related aspects.
Sanjay Khan Nagra (Partner) and Pritish Mishra (Principal Associate) advised on the regulatory aspects of the transaction.
Nirupam Lodha (Partner), Shivangi Narang (Principal Associate) and Toshani Mukherjee (Associate) advised on the intellectual property aspects of the transaction.
The role of the Firm included: Undertaking the legal due diligence on the Company; Advising on the business model of the Company; Drafting, negotiation and finalisation of the transaction documents; and Assisted with execution and closing of the transaction.
