CAM advises TBO Tek Limited on its initial public offering of equity shares aggregating to INR 15508 million

Cyril Amarchand Mangaldas (CAM) advised TBO Tek Limited (“Company”) on its initial public offering of equity shares (“Equity Shares” and the initial public offering, the “Offer” or “IPO”) aggregating to Rs. 15,508.09 million. The Offer comprised of a fresh issue of 4,347,826 Equity Shares aggregating to Rs. 4,000 million and an offer for sale of 12,508,797 Equity Shares aggregating to Rs. 11,508.09 million. The Equity Shares commenced trading on BSE Limited and National Stock Exchange of India Limited (“NSE” and together with BSE Limited, the “Stock Exchanges”) on May 15, 2024.

CAM’s role encompassed advising the Company on regulatory compliance involving the IPO, preparing necessary documentation, and ensuring the smooth execution of the IPO process.

The Capital Markets team of Cyril Amarchand Mangaldas advised on the matter. The transaction team was led by Gokul Rajan, Partner & Regional Head Markets Practice (Northern Region); with support from Shubham Sancheti, Senior Associate; Neha Sahgal, Senior Associate; Harshvardhan Lahiri, Associate; Dhawal Nirash, Associate; Eesha Tirodkar, Associate; Amritesh Anand, Associate; and Rohit Raj, Associate.

Other parties and advisors to the transaction included Axis Capital Limited, Goldman Sachs (India) Securities Private Limited, Jefferies India Private Limited and JM Financial Limited, acted as book running lead manager to the issue; and Hogan Lovells Lee & Lee and S&R Associates, acted as international and Indian legal counsels for book running lead managers, respectively.

The allotment of Equity Shares pursuant to the Offer was undertaken on May 13, 2024.
