Khaitan & Co advised Vedanta Resources Finance II on the issuance of USD 800 million senior guaranteed bonds under the US Securities Act, 1933 pursuant to a dual tranche structure. Guaranteed by Vedanta Resources Limited, Twin Star Holdings Ltd., and Welter Trading Limited, the bonds will be listed on the Singapore Stock Exchange. Bonds aggregating: (i) USD 300 million of 10.25% are due in 2028; and (ii) USD 500 million of 11.25% are due in 2031.
The deal was led by Manisha Shroff (Partner), Rajshekhar Upadhyaya (Senior Associate), Chirag Gohil (Senior Associate), Siddhant Shetty (Senior Associate) and Nikunj Mehta (Associate).
